　WHEREAS:

　鉴

　于：

　 Party A is engaged in providing large amount of advanced cranes equipment for steel, airline, paper and other kinds of industries in China and plans to appoint Party B for development, manufacturing of motors accessories.

　甲方从事为国内钢铁，航空，造纸等行业提供大量先进的起重设备，并计划委托乙方提供相关电机配件的开发，生产。

　Party B is engaged in designing, development, manufacturing and selling of motors accessories and agrees to accept the appointment by Party A and to be engaged in development, manufacturing of the Supplied Products for Party A;

　乙方从事

　并同意接受甲方委托为甲方从事供应产品的开发，生产；

　Party A possesses certain confidential information relating or relevant to the

　 Supplied

　 Product which is of commercial value to Party A, and Party A has consistently taken all necessary steps to protect, and prevent unauthorised disclosure of, such information;

　甲方拥有与自身业务、生产经营以及供应产品有关并对甲方具有商业价值的某些保密信息，且甲方一直采取一切必要的措施，以保护该等信息并防止任何人对该等信息做出任何未经授权的披露；

　Now, therefore, the Parties have agreed the following terms in relation to such confidential information:

　双方一致同意与该等保密信息有关的以下条款：

　Scope of Confidential Information

　保密信息的范围

　1.1

　“Confidential Information” means any information which Party A may, now or in the future, own or possess or have under its control which is of commercial value or use to Party A in relation to the Supplied Product and includes information stored, safeguarded or recorded digitally on computer disks, CD-ROM drives, CD-ROMs, hard disks, or software, and information recorded on paper or any other medium. Such information may include, without limitation:

　“ 保密信息” 是指甲方目前以及将来拥有、占有或控制、对该甲方具有商业价值或者效用的与供应产品或甲乙双方业务合作有关的任何信息，包含计算机磁盘、光盘读取器、光盘、硬盘或软件中以数字方式存储、保护或记录的信息及纸张或任何其他载体上记录的信息。

　该等信息可能包括(但不限于) ：

　(a).

　 Blueprint, datum, proposal, criterion and information relating to the Supplied

　Product;

　与供应产品相关的图纸、数据、方案、指标、信息； (b).

　 Details relating to the business, affairs, clients, customers or suppliers of Party A;

　与甲方的业务、事务、客户、顾客或供应商有关的资料； (c).

　 Information supplied by, or relating to, any client or shareholders of Party A in

　respect of which Party A has an express or implied duty of confidentiality;

　甲方的母公司或客户提供的有关的信息，并且甲方对该等信息负有明示或暗示的保密义务；

　 (d).

　 Information or material regarding the price, raw material, or technology in respect of

　Party A’s business or product.

　甲方业务、产品相关的价格、原材料、工艺等资料和信息。

　For the purposes of this Agreement, the term “Party B” shall include Party B’s shareholders, branches, subsidiaries, affiliated entities, agents, directors and employees. Party B shall take necessary measure to require parties aforesaid to assume the same obligation for confidentiality, and shall also be liable for behaviours for such parties aforesaid.

　就本协议而言， “乙方” 应包括乙方的股东、分支机构、子公司、关联公司、代理人、董事及雇员。

　乙方应采取必要措施要求该等当事人同样承担保密义务，并对该等当事人的行为承担责任。

　1.2

　The following shall not constitute Confidential Information:

　保密信息不包括以下信息：

　(a)

　Information that Party B has developed independently prior to acquiring the same from Party A in accordance with the terms of this Agreement; or

　乙方已经独立开发的信息，并且该等信息是在该乙方依照本协议条款从另一方获悉该等信息之前独立开发的；或 (b).

　Information that, through no fault of Party B, becomes known to the public after the execution of this Agreement; or

　在双方签订本协议以后并非由于乙方的过错而被公众所知的信息；或

　(c).

　 Information obtained from a third party in a manner which does not breach any of

　Party B’s obligations to the other Party.

　乙方在未违反其对甲方承担的任何义务的情况下从第三方获得的信息。

　保密信息的使用

　Use of Confidential Information 2.1

　 Party B hereby acknowledges the importance of Party A’s Confidential Information, and shall take all necessary measure to protect it and shall prevent any unauthorised disclosure of Confidential Information to any other party.

　乙方确认知悉甲方该等保密信息的重要性，并将采取一切必要的措施，以保护该等信息并防止任何人对该等信息做出任何未经授权的披露；

　2.2

　Party B shall maintain the strictest confidentiality in respect of all Confidential Information of Party A and shall not use the same except (i) to production or

　 development of the Supplied Product, or (ii) as otherwise permitted by this Agreement.

　乙方应使甲方的所有保密信息得到最严格的保密，并且(i)除为供应产品的生产、开发，或(ii)本协议允许的用途外，不得使用该等保密信息。

　In discharging such duty, Party B shall employ methods no less strict than those used by it to protect its own confidential information and shall cause each of its directors, employees or agents to whom such information may be disclosed to execute a separate confidentiality agreement on terms no less strict than those set out herein.

　在履行上述义务时，乙方应采取与保护其自身保密信息所用措施同样严格的措施，并责成其每一位有可能得到保密信息的董事、雇员或代理人各自签订一份与本协议所列条款同样严格的保密协议。

　2.3

　Unless the prior written consent of Party A is obtained, Party B shall not copy, publish or disclose to any third party any Confidential Information of Party A.

　除非事先取得甲方的书面同意，否则乙方均不得复制、出版或向第三方披露甲方的任何保密信息。

　2.4

　If a court of competent jurisdiction or a government agency acting in accordance with its powers requires that Party B disclose Confidential Information of Party A, Party B shall notify Party A beforehand in order that Party A may examine and verify the Confidential Information to be disclosed.

　如果具有司法管辖权的法庭或政府主管部门要求乙方披露甲方的保密信息，乙方应事先通知甲方，使其能够查验需要披露的保密信息。

　2.5

　This Agreement shall remain in full force and effect for the period of ten years after the date hereof.

　本协议在签订日后的 1 0 年内仍完全有效。

　Rights to Confidential Information

　保密信息的所有权

　 No provision of this Agreement shall be deemed to confer on Party B any proprietary or ownership interest with respect to any Confidential Information of Party A.

　本协议的任何规定均不得被视为向乙方授予任何甲方保密信息的任何专有权或所有权。

　 4. Return of Documents

　文件退还

　 If Party A believes that it is necessary and already deliver written notice to Party B, Party B shall, within ten days after its reception of such notice, return to the Party A all Confidential Information and all copies thereof whether or not the same are stored, maintained or recorded in computer disks, CD-ROM drives, CD-ROMs, hard disks or software or in hard copy format and, to the extent that it is not feasible to return the same, shall destroy such Confidential Information or cause the same to be deleted or erased from any computer or other electronic system.

　如果甲方认为必要并已向乙方发出书面通知，乙方应在收到甲方书面通知后的10天内，向甲方退还其全部保密信息及其全部副本（不论其是否是在书面形式、计算机磁盘、光盘读取器、光盘、硬盘或软件中或纸张载体上存储、保存或记录的）

　；如果乙方退还上述保密信息及其全部副本为不可行，则该乙方应将其销毁，或者从计算机或其他电子系统中将其删除或抹掉。

　Non-competition

　非竞争承诺

　Party B undertakes that during the term of its possession of Confidential Information, unless as otherwise appointed or agreed by Party A, Party B shall not use the Confidential Information and be engaged in manufacture, development of similar product, nor accept orders from any other company or personnel which is competing with Party A.

　乙方承诺，在获得上述保密信息期间，除甲方委托或同意外，乙方不会利用该等保密信息从事相似的产品生产、开发，或接受其他与甲方业务相竞争单位、个人的委托从事相同或类似产品的生产、加工。

　Liability for Breach of Contract

　违约责任

　If Party B breaches any of its obligations under this Agreement, it shall compensate Party A with an amount of say RMB-two hundred thousand only as damage. In case that all actual damages suffered by Party A resulting from such breach exceed the amount afore-specified, Party B shall fully compensate Party A for all such damages and losses.

　如果乙方违反其在本协议项下的义务，乙方应赔偿甲方违约金人民币贰拾万圆整，如乙方违约导致的甲方全部实际损害超过上述违约金金额，乙方还应向甲方补偿上述全部损失。
